We have provided

formation of corporations, partnerships and limited liability companies,
drafted and negotiated the sale or purchase of a business, drafted buy sell and
shareholder agreements, and documented and reviewed loan transactions and
assisted in company loan workouts.
We have prepared and negotiated business and commercial agreements, consulted with clients, company controllers
or outside CPA and boards of directors and management on the purchase and sale of businesses, business

administrative claims (labor, EEOC, OSHA, FAA and PACA).
Mr. Jimenez serves as corporate counsel for several small
companies including manufacturers, distributors and contractors.
We have negotiated and drafted supply,
licensing, employment, non-competition, confidentiality and trade secret,
pledge and security agreements.
Mr. Jimenez has substantial
civil jury and bench trial experience. He has arbitrated commercial disputes and has significant appellate
experience. He has prosecuted and defended lawsuits involving the CA Trade Secrets Act (Civil Code § 3426), the federal Computer Fraud and Abuse Act [CFAA], 18 U.S.C. §
1030(a)(4), unfair trade claims and class action (employment) cases.
